Terms of Service
Effective Date: May 20, 2026
1. Agreement
By accessing or using VeriSwarm (the “Service”), you (“Customer”) agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. If you accept these Terms on behalf of an entity, you represent that you have authority to bind that entity.
2. Service Description
VeriSwarm provides trust-scoring, security-scanning, identity-verification, audit-logging, policy-decision, and agent-runtime infrastructure for AI agents. The Service includes API access, a web dashboard, the Gate trust scoring engine (free tier), and optional product modules including Guard (security scanning + PII tokenization + Guard Proxy), Passport (agent identity verification + portable credentials), Vault (immutable audit ledger), Cortex (LLM routing + conversation engine + LLM proxy), Fleet (agent deployment + lifecycle management), and Cortex Workflows (YAML-driven automation).
The Service is infrastructure that provides signal— trust scores, policy outputs, security findings, identity attestations, and audit records — that Customer uses to inform Customer's own decisions about Customer's AI agents. VeriSwarm does not operate, control, or take responsibility for the behavior of any AI agent. See §10 (Agent Behavior and Customer Responsibility).
3. Accounts
- You must provide accurate information when creating an account.
- You are responsible for maintaining the confidentiality of your credentials, API keys, and session tokens.
- One person or organization per workspace. You may belong to multiple workspaces.
- You must be at least 18 years old to use the Service.
4. Acceptable Use
You agree not to:
- Use the Service to facilitate illegal activity.
- Attempt to access other customers' data or workspaces without authorization.
- Reverse-engineer, decompile, or disassemble the Service.
- Circumvent rate limits, quota enforcement, or security controls.
- Submit false or misleading agent behavioral data.
- Use the Service to harass, stalk, or harm individuals.
- Use the Service in connection with High-Risk Activities except subject to §12.
5. Plans and Billing
- Free Plan: 5,000 decision queries per day, up to 10 agents. Event ingestion is always free and unlimited.
- Pro Plan: $49/month. 100,000 queries/day, unlimited agents, Passport module.
- Max Plan: $299/month. 2,000,000 queries/day, Guard + Passport + Vault modules.
- Enterprise: Custom pricing. Contact sales@veriswarm.ai for custom API limits, retention, SLAs, and dedicated support.
- Paid plans are billed monthly through Stripe. You may cancel at any time.
- Downgrading to Free takes effect at the end of the current billing period.
- We reserve the right to change pricing with 30 days' notice.
6. Data
- Your Data: You retain ownership of all data you submit (events, agent profiles, reports). We process it solely to provide the Service.
- Gate Scoring Data: Trust scores, policy decisions, and moderation flags derived from your data are generated by VeriSwarm Gate and may be displayed on public agent profiles (Agent Tracker).
- Retention: Data is retained according to your plan (Free: 30 days, Pro: 90 days, Max: 365 days). You may export your data at any time.
- Deletion: Upon account deletion or request, your data will be removed within 30 days.
7. Modules Are Tools, Not Guarantees
Each VeriSwarm module produces signals — never guarantees. The following disclaimers apply to every Service offering, on every plan, including the Free Plan:
- Gate (trust scoring): Scores are probabilistic estimates derived from data Customer submits. A high score is not a representation that an agent is safe, accurate, lawful, or trustworthy for any particular use; a low score is not a representation that an agent is unsafe. False positives and false negatives are inherent to any scoring system.
- Guard (security scanning, PII tokenization, injection detection, content moderation): Guard performs automated checks that may identify risks. Absence of a Guard finding is not a representation that an input, output, tool call, or PII payload is safe, lawful, or free of risk. Customer must maintain its own controls.
- Passport (identity verification, manifests, delegations): Passport attestations are statements about the data Customer has submitted — not independent verification of legal identity, organizational authority, or fitness to act.
- Vault (audit ledger): Vault provides cryptographic integrity verification for the events Customer submits. Vault is an evidentiary tool. It is not a legal record-keeping system of record for any regulatory regime, and the presence of Vault does not satisfy Customer's own retention, audit, or disclosure obligations. Customer is responsible for its own compliance.
- Cortex (LLM routing, conversation engine, LLM proxy): Cortex routes requests to third-party LLM providers and returns their outputs. VeriSwarm does not generate, warrant, fact-check, or take responsibility for LLM output. Output may be inaccurate, biased, harmful, or otherwise unsuitable for Customer's purpose. Customer is solely responsible for its use of LLM output.
- Fleet (agent deployment, lifecycle, templates): Templates and managed agents are provided as starting points. Customer is responsible for configuration, knowledge bases, integrations, and the behavior of any deployed agent.
- Cortex Workflows: Workflows execute Customer-authored YAML. VeriSwarm does not warrant that any workflow will produce a particular outcome, satisfy a particular regulatory obligation, or prevent a particular harm.
- Compliance attestations: Per-tenant compliance reports map Customer's configuration and live posture against framework controls. Reports flagged
technical_preview: truereflect a mapping that has not yet been counsel-reviewed. No compliance report is legal advice or a substitute for advice of counsel admitted in Customer's jurisdiction.
8. Availability and Warranty Disclaimer
We target 99.9% uptime but do not guarantee it. THE SERVICE AND ALL OUTPUTS — INCLUDING TRUST SCORES, POLICY DECISIONS, GUARD FINDINGS, PASSPORT ATTESTATIONS, VAULT RECORDS, LLM RESPONSES, COMPLIANCE REPORTS, AND ANY OTHER SIGNAL — ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR ERROR-FREE OPERATION. VeriSwarm does not warrant that the Service will identify all risky behavior, that scores will be accurate, that decisions will be correct, that Guard will catch every injection or PII leak, that Passport will verify any particular identity claim, or that Vault will be admissible in any particular legal or regulatory proceeding.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Cap: VeriSwarm's total cumulative liability arising out of or relating to the Service and these Terms shall not exceed the greater of (a) the fees actually paid by Customer to VeriSwarm in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). For Free Plan users, the cap is US$100.
- Excluded damages: Notwithstanding the cap, VeriSwarm shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, lost revenue, lost data, lost goodwill, regulatory fines or penalties incurred by Customer, business interruption, reputation harm, or the cost of substitute services — even if VeriSwarm has been advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.
- Agent-mediated harm: Without limiting the foregoing, VeriSwarm shall not be liable for any harm caused by, contributed to, or arising from the behavior of any AI agent — including any harm not detected, scored, flagged, or denied by the Service. Customer's recourse for a missed detection is limited to the cap and excluded-damages provisions above.
- Allocation of risk: Customer acknowledges that the fees paid for the Service reflect this allocation of risk and that VeriSwarm would not offer the Service on the terms set forth herein absent these limitations.
10. Agent Behavior and Customer Responsibility
Customer is the operator and controller of every AI agent Customer registers, deploys, configures, or otherwise connects to the Service. VeriSwarm provides infrastructure; Customer makes decisions. Specifically:
- Customer is solely responsible for any action, omission, output, decision, or consequence of an agent under Customer's control — whether or not the Service issued a score, flag, finding, attestation, or decision regarding that agent.
- VeriSwarm's decision API outputs (allow / review / deny) are advisory inputsto Customer's own decision-making process. Customer is responsible for what Customer does with those outputs, including any decision to act on, override, defer, or ignore a Service output.
- An “allow” decision, the absence of a Guard finding, a high Gate score, or any other affirmative signal is nota representation, certification, or warranty that an agent's behavior is safe, legal, accurate, fair, non-discriminatory, or appropriate for any particular use.
- Customer is responsible for ensuring that its agents' behavior complies with all applicable laws and regulations — including without limitation consumer protection law (e.g., FTC Section 5), advertising law, fair lending law, anti-fraud statutes, professional-responsibility rules, content-moderation obligations, and any AI-specific framework applicable in the jurisdictions in which Customer operates.
- Customer is responsible for any output any agent produces and any decision any agent makes, whether or not that output or decision was reviewed by VeriSwarm.
11. Indemnification
Customer shall defend, indemnify, and hold harmless VeriSwarm, its officers, directors, employees, contractors, and agents (the “VeriSwarm Parties”) from and against any and all third-party claims, actions, demands, investigations, proceedings, losses, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- any action, output, omission, decision, or behavior of any AI agent operated by Customer, registered to Customer, integrated through Customer, or otherwise within Customer's control;
- Customer's use of the Service in a manner that violates these Terms, the Acceptable Use policy, or applicable law;
- Customer's data, including any claim that Customer's data infringes a third party's rights, contains PII processed without lawful basis, or is otherwise unlawful;
- any representation Customer makes about the Service to a third party that is inconsistent with these Terms;
- any breach by Customer of §10 (Agent Behavior and Customer Responsibility);
- Customer's use of the Service in connection with a High-Risk Activity.
VeriSwarm shall (i) promptly notify Customer of any indemnified claim, (ii) allow Customer to control the defense and settlement of the claim (provided no settlement may admit fault or impose obligations on VeriSwarm without VeriSwarm's prior written consent, not to be unreasonably withheld), and (iii) reasonably cooperate with Customer in the defense. VeriSwarm may participate in the defense with counsel of its own choosing at its own expense.
12. High-Risk Activities
The Service is general-purpose infrastructure. Customer shall not use the Service as the sole or primary control in any activity where a failure, error, missed detection, or inaccurate signal could reasonably be expected to result in death, serious bodily injury, severe property damage, severe environmental damage, or violation of life-safety regulation (a “High-Risk Activity”). High-Risk Activities include without limitation:
- autonomous control of medical devices, life-support systems, or surgical robotics;
- autonomous control of vehicles, aircraft, vessels, or other passenger-carrying systems;
- autonomous operation of critical infrastructure (power grids, water systems, nuclear facilities);
- autonomous use of weapons or military systems;
- autonomous medical diagnosis or treatment without licensed-clinician oversight;
- autonomous legal advice without licensed-attorney oversight;
- autonomous financial advice without registered-adviser oversight where required.
Customer may use the Service alongside Customer's own independent safety controls for activities of this kind, but Customer acknowledges that the Service is not the control of record and that Customer assumes full responsibility for the safety of such activities. Customer's indemnification obligation under §11 extends to all claims arising from any High-Risk Activity.
13. No Third-Party Beneficiaries
These Terms confer rights only on the parties to them. No third party — including, without limitation, any person harmed by Customer's agent — is a beneficiary of, or has any right to enforce, any provision of these Terms.
14. Termination
- You may cancel your account at any time.
- We may suspend or terminate your account for violation of these Terms, non-payment, or abusive behavior.
- Upon termination, your data will be deleted within 30 days unless required by law.
15. Survival
The following sections survive termination or expiration of these Terms: §6 (Data) to the extent it covers post-termination handling, §7 (Modules Are Tools, Not Guarantees), §8 (Availability and Warranty Disclaimer), §9 (Limitation of Liability), §10 (Agent Behavior and Customer Responsibility), §11 (Indemnification), §12 (High-Risk Activities), §13 (No Third-Party Beneficiaries), §17 (Governing Law and Dispute Resolution), and any accrued payment obligations.
16. Changes
We may update these Terms at any time. Material changes will be communicated via email or in-app notice at least thirty (30) days before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance. If you do not agree to a change, your sole remedy is to cancel your account before the change takes effect.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction and venue there.
18. Force Majeure
Neither party is liable for any failure or delay in performance arising from causes beyond its reasonable control, including without limitation acts of God, war, terrorism, civil unrest, government action, pandemic, labor stoppage, internet or cloud-provider outage, denial-of-service attack, third-party API outage, or LLM provider failure.
19. Entire Agreement; Severability
These Terms, together with the Privacy Policy, the SLA (if any), and the DPA (if any), constitute the entire agreement between the parties regarding the Service and supersede any prior or contemporaneous agreement. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision shall be modified only to the extent necessary to make it enforceable while preserving the parties' intent.
